CONDITIONS OF TRADING

  1. DEFINITION: DUTTON & GAVIN (TEXTILES) LIMITED is "The Company" referred to in the conditions.
  2. PRICES: Prices quoted are subject to alteration without notice.
  3. VAT: Prices are exclusive of VAT.
  4. CARRIAGE: Carriage will be charged, at cost, where applicable.
  5. CLAIMS: Claims for losses, damages, non-receipt of goods or shortages should be made WITHIN SEVEN DAYS OF INVOICE DATE and confirmed in writing. CUSTOMERS SHOULD EXAMINE ALL DELIVERIES ON RECEIPT AND BEFORE SIGNING THE CARRIERS' DOCKET. DAMAGED PACKAGES MUST BE REFUSED AND NOT SIGNED AS "UN-EXAMINED" AS THE CARRIER DOES NOT RECOGNISE THIS QUALIFICATION NB: THE COMPANY WILL NOT BE RESPONSIBLE FOR THE TRANSIT-DAMAGED GOODS WHICH HAVE BEEN ACCEPTED AND SIGNED FOR AS IN GOOD CONDITION
  6. FAULTS/SHADE Cloth should be carefully examined BEFORE making-up, as a claim will not be MATCHING: entertained if it has been cut or marked in any way. It must be stressed that whilst every effort is made during manufacture to minimise shade variations, matching between different dye batches and, therefore, with sample books or swatches, cannot be guaranteed.
  7. LIABILITY: The Company will not be responsible for any consequential loss, no matter how caused, any claim being limited to the value of the goods supplied, less any discount taken.
  8. PAYMENT: Cash discount of 3.75% of goods value will be allowed for payments RECEIVED within 10 days of invoice date; otherwise, all payments are NET, monthly. (i.e. payment to be received by the last day of the month following the month of invoice.)

    1. SUCH DISCOUNT APPLIES ONLY WHEN THERE IS NO PRIOR DEBIT BALANCE OUTSTANDING.
    2. INTEREST MAY BE CHARGED ON OVERDUE ACCOUNTS @ 3% OVER BASE RATE OF THE NATIONAL WESTMINSTER BANK PLC. Accounts will be considered overdue after one calendar month has elapsed from the last day of the month in which the debt was incurred
  9. RETENTION: Legal and beneficial ownership remains with the Company until payment of all debts arising from the transaction have been cleared. This may include any debit balance on current accounts held by the buyer with the Company.
  10. LEGAL COSTS: The cost of any successful legal action to recover a debt, will be born by the debtor. Warning: Customers are advised to check the suitability of materials before use.
